Version 1.0 — Last updated: 14 October 2026
1. Scope, definitions and operator
1.1 These terms govern the use of the odinkey.com website and apps (the „Platform„) and purchases made through it.
1.2 The Platform is operated by Adrien Spada, a sole proprietorship not subject to VAT, whose address is Rue du Maupas 16, 1004 Lausanne, Switzerland („Odin Key„, „we„, „us„). Contact: support@odinkey.com or the chat on the Platform.
1.3 Definitions.
- „Seller„: a professional third party (supplier or reseller) registered on the Platform that offers Products there and is named in the offer.
- „Buyer„: anyone who places an order on the Platform. „Consumer„: a Buyer who is a natural person acting for purposes outside their trade, business, craft or profession.
- „Product„: an activation key, licence, credit, or access to an account offered on the Platform.
- „Offer„: the presentation of a Product by a Seller on the Platform.
1.4 The Platform is open to Buyers worldwide, within the limits of the law (for example sanctions or export restrictions) and of the payment methods available. We may refuse an order where this is legally required.
1.5 You must be at least 18 years old, or of full legal capacity in your country of residence, to order.
1.6 Where you are a Consumer, nothing in these terms deprives you of the mandatory consumer-protection rights of your country of residence (see Art. 18).
2. Role of Odin Key — who is the Seller?
2.1 Every Offer names its Seller („Sold by …”). From the Offer page you can see the Seller’s name or company name, geographical address, e-mail address, registration number and VAT number (where applicable), and its rating.
2.2 Odin Key is not the Seller of the Products offered on the Platform. Odin Key operates an online marketplace: it provides the means to present Offers, to order and pay, to communicate, to obtain support and to make complaints, and it applies the Buyer Protection (Art. 11). Odin Key does not buy or resell these Products.
2.3 The sales contract is concluded exclusively between the Buyer and the Seller named in the Offer. Odin Key is not a party to that contract and is not the owner of the Products. This is without prejudice to the Buyer Protection (Art. 11), to Odin Key’s own obligations under these terms, and to any liability that Odin Key has under mandatory law.
2.4 Status of the Seller. Only Sellers acting as professionals („traders”) are admitted on the Platform; each Seller declares this on registration. As a result, the consumer-protection rules of the EU and of your country of residence apply to your contract with the Seller. (If the Platform one day admits Sellers who are not traders, the Offer must say so, and the Buyer must be told that consumer-protection law does not apply to that contract.)

2.6 Sellers are not affiliated with the publishers of the software and games offered, and Odin Key is affiliated neither with the publishers nor with the Sellers.
2.7 Odin Key identifies Sellers before admitting them (Seller Terms V2) but does not check the accuracy of every Offer before publication and does not verify the origin of each Product. It may remove an Offer or suspend a Seller (Art. 13–14).
3. Ranking, reviews and transparency
3.1 Ranking. The Offers shown in response to a search or a category are ranked mainly according to: in preparation.
3.2 Paid placement. in preparation
3.3 Reviews and ratings. in preparation We do not publish or commission fake reviews and do not accept payment or other benefits for reviews.
3.4 Equal treatment. in preparation
4. Account and order
4.1 You can order with or without an account. The information you give must be accurate and complete (in particular your e-mail address, to which the Product is delivered).
4.2 Before ordering you can check and correct your order, including the Seller, the Product, the total price and the delivery method. The button that completes the order is labelled „Order with obligation to pay” (or an equivalent unambiguous wording). To order you must tick a box confirming that you accept these terms and, for Consumers, the boxes described in Art. 8.2.
4.3 Conclusion of the contract. Your order is an offer to buy. The contract between you and the Seller is concluded when the Seller accepts the order. Acceptance is confirmed by an e-mail sent to you, and at the latest when the Product is delivered.
4.4 The Seller may refuse or cancel an order in case of unavailability, an obvious pricing error or suspected fraud, or where the law prohibits the sale. You are then refunded in full without delay.
4.5 After your order we send you, on a durable medium (e-mail), a confirmation of the contract containing the information required by law and a copy of these terms.
4.6 The contract can be concluded in any of the languages of the Platform (English, French, German, Italian, Spanish, Portuguese, Dutch, Polish, Swedish, Danish, Czech, Romanian). The order confirmation remains available in your e-mail inbox and, if you have an account, in your account.
5. Prices, taxes, invoice
5.1 Prices are shown in euros (EUR) and are set by the Seller. The total price you pay (including taxes and any fees) is shown before you order. Your bank may apply its own currency-conversion or card fees.
5.2 The displayed price is the final price to pay. As the operator is not subject to VAT, Odin Key does not charge VAT; each Seller remains responsible for its own tax obligations.
5.3 An invoice or receipt for your order is sent by e-mail and is available in your account. It names in preparation.
5.4 The Platform’s commission is invoiced to the Seller and does not increase the price you pay.
6. Payment
6.1 Payment is made by payment card, processed by Stripe, a licensed payment provider. Odin Key does not store your full card number. Your bank may require strong customer authentication (for example 3-D Secure).
6.2 The payment is collected for the Seller’s account by the payment provider and is paid out to the Seller after in preparation.
6.3 The order is not valid until the payment has been authorised. If it is declined, no contract is concluded.
7. Delivery
7.1 The Product is delivered electronically, by e-mail to the address you gave, in principle within 24 hours after the payment is confirmed, unless the Offer states otherwise. Delays can occur (for example a payment check or a technical problem).
7.2 Delivery is made when the key, link or access is sent to your address. Please check your spam folder and the accuracy of your address.
7.3 If you have not received the Product within 24 hours, contact support (Art. 10). If the Product is still not delivered without undue delay after you have called on the Seller to deliver, you may terminate the contract and obtain a refund of the price (Art. 9.4). The Buyer Protection (Art. 11) applies in addition.
7.4 Before ordering, check the system requirements, the language, the region and the licence type stated in the Offer.
8. Right of withdrawal
8.1 Consumers. If you are a Consumer, you have the right to withdraw from the contract within 14 days without giving any reason. For digital content, the period starts on the day the contract is concluded.
8.2 Loss of the right for digital content. For a Product supplied as digital content not on a tangible medium (for example an activation key), you lose your right of withdrawal once performance has begun, that is once the key or access has been delivered, if before ordering you have (i) expressly consented to the performance beginning during the withdrawal period, and (ii) acknowledged that you thereby lose your right of withdrawal. These two statements are given by ticking two separate boxes at checkout, and we confirm them in the order e-mail. If you do not tick them, the order cannot be placed, because we cannot deliver the Product within the usual time.
8.3 Access supplied over a period. For a Product that is access to an account for a period („account provided”), the Product may be a digital service. In that case, you can withdraw within 14 days; if you asked for the access to start immediately, you pay a proportionate amount for the access used until you told us of your withdrawal.
8.4 How to withdraw. Use the function „Withdraw from contract here” available on this page, or send a clear statement to support@odinkey.com stating your name, your order number and your wish to withdraw. You may use the model withdrawal form in Annex 1. You will receive confirmation on a durable medium.
8.5 Effects. In case of valid withdrawal, you are refunded the price paid without undue delay and at the latest within 14 days of the day we are informed of your decision, using the payment method you used for the order. The refund is made by the Seller through the Platform.
8.6 Businesses (non-Consumers) have no statutory right of withdrawal. A Seller may offer a voluntary right of return; if so, it is stated in the Offer.
8.7 The loss of the right of withdrawal does not affect your rights under Art. 9 (conformity) or Art. 11 (Buyer Protection).
9. Conformity of the Product, legal remedies and Seller liability
9.1 The Seller named in the Offer is responsible for the description of its Offer, its price, its right to resell the Product (licence, copyright, trademark, publisher’s terms), delivery, the conformity of the Product, and after-sales service.
9.2 Conformity. The Product must match the Offer: in particular the key or access delivered must be valid, not previously used (unless the Offer says otherwise), and can be activated in the conditions described (software, version, language, region, licence type, duration), and it must be fit for the purposes for which products of the same type are normally used.
9.3 Licence types. Some Products are OEM, volume, educational or region-restricted licences. The Seller must state the licence type, any restriction and the duration in the Offer. A Product that does not match what is stated is non-conforming. You should read the publisher’s licence agreement (EULA) before activation.
9.4 Legal remedies. If you are a Consumer, you have the legal rights of your country of residence in case of lack of conformity or non-delivery. In particular, if the Product has a lack of conformity that existed at the time of supply, the Seller must bring it into conformity free of charge (for example a replacement key) within a reasonable time. If that is impossible, disproportionate or not done in time, or if the lack is serious, you may obtain a price reduction or terminate the contract with a refund. If the Product is not delivered, you may terminate the contract as provided by law (see Art. 7.3). Under EU law the Seller is liable for a lack of conformity that appears within at least two years of the supply of a Product supplied by a single act, in preparation.
9.5 The 7-day period in Art. 11 only applies to the Buyer Protection. It does not shorten, replace or limit your legal rights.
9.6 Limitation of liability. Nothing in these terms excludes or limits the Seller’s liability for intent, gross negligence, personal injury, or any liability that cannot be excluded or limited under the mandatory law applicable to you. For Buyers who are not Consumers, and to the extent permitted by law, the Seller’s liability is limited to the price paid for the Product concerned and does not extend to indirect damage.
9.7 „Account provided / shared” Products. The Product is access to a third-party account, not an individual key. The publisher may restrict, suspend or withdraw access. The duration of access is the one stated in the Offer. If access is lost before the announced end, without fault on your part, the Seller restores access or refunds the price in proportion to the unused period.
10. Complaints, support and dispute resolution
10.1 If you have a problem (Product not received, invalid key, non-conforming Product, activation difficulty), contact support@odinkey.com or the chat, stating your order number. You may write to us in any language.
10.2 Activation assistance. Before any refund under Art. 11, our support helps you to activate the Product (checking the instructions, the version and the region, and asking the Seller to resend or replace the key where needed).
10.3 Handling. We acknowledge your complaint, forward it to the Seller, who has in preparation to respond and propose a solution. If there is no response or no agreement, Odin Key may propose an amicable solution (replacement, refund or cancellation) and acts as provided in Art. 11.
10.4 This role does not make Odin Key liable for the Seller’s performance of the contract, subject to Art. 11 and to mandatory law.
10.5 Out-of-court dispute resolution (ADR). in preparation The European online dispute resolution (ODR) platform was closed on 20 July 2025; we therefore do not refer to it.
10.6 Using these procedures does not prevent you from going to court (Art. 18).
11. Buyer Protection
11.1 The Buyer Protection programme is in preparation and is not yet in force. Your legal rights (Art. 8 and 9) are not affected.
12. Liability of Odin Key
12.1 To the extent permitted by law, Odin Key is not liable for the Products sold by Sellers, for their performance of the contract, or for damage resulting from a Seller’s breach. This does not affect any liability that Odin Key has under mandatory law, in particular consumer law and the rules on providers of online platforms.
12.2 Odin Key is liable, according to the law, for its own breaches as a platform operator (availability, processing of orders and payments, processing of personal data). Its liability for indirect damage is excluded to the extent permitted by law. Nothing limits Odin Key’s liability for intent, gross negligence, personal injury, or where the law prohibits a limitation.
12.3 Apart from mandatory law, the refund under Art. 11 is Odin Key’s only financial commitment in respect of a Product sold by a Seller.
12.4 Odin Key is not liable for interruptions due to an event beyond its reasonable control (network failure, payment-service outage, measure of an authority). The failure of a Seller’s own supplier is not such an event for the Seller.
13. Prohibited conduct and content
13.1 The following are prohibited: selling or buying Products obtained unlawfully (fraudulent payment, stolen key, hacked account), counterfeits, manipulation of reviews, identity theft, abuse of payment chargebacks, and collusion to circumvent the protections of the Platform.
13.2 If a breach is suspected or established, Odin Key may remove an Offer, block an order, withhold a payment, suspend or terminate an account, and cooperate with authorities and rights holders. In such cases Art. 14.3 applies.
14. Reporting unlawful content, and our decisions
14.1 Reporting. Anyone (rights holder, Buyer, third party, authority) can report an unlawful or disputed Offer through the “Report an offer” form or by e-mail to support@odinkey.com. A report should contain: (a) the reasons why the content is unlawful; (b) the exact location (URL) of the Offer; (c) your name and e-mail address (except for certain serious offences); (d) a statement that you act in good faith and that the information is accurate and complete.
14.2 We confirm receipt, examine the report in a timely, diligent and non-arbitrary manner, may remove the Offer as a precaution, and inform the reporting person and the Seller of our decision and of the remedies available.
14.3 Statement of reasons. When we remove or restrict an Offer, suspend or terminate an account, or withhold a payment, we tell the person concerned, with the reasons and the available remedies (contacting support, ADR where applicable, courts), unless the law prevents us from doing so.
14.4 Contact points. The point of contact for authorities and for users is in preparation. Languages: English and the other languages of the Platform.
14.5 Repeated, manifestly unfounded reports may lead us to stop processing the reports of the person concerned for a time, after a warning.
15. Personal data and cookies
15.1 Adrien Spada is the controller of the personal data processed on the Platform, in accordance with the Swiss Federal Act on Data Protection (FADP) and, where it applies, Regulation (EU) 2016/679 (GDPR). Our Privacy Policy in preparation describes the purposes, legal bases, retention periods, recipients, transfers outside the EU/EEA and your rights.
15.2 When you order, some data (name, e-mail address, order details, country) is disclosed to the Seller as far as necessary for performing the contract and for after-sales service. The Seller processes it as an independent controller and may not use it for other purposes, in particular marketing, without a legal basis.
15.3 Data may also be disclosed to our service providers (payment, hosting, e-mail, support, chat) and, where the law requires, to authorities.
15.4 Cookies. Cookies and similar technologies that are not strictly necessary are used only with your consent, which you can give, refuse or withdraw at any time through the cookie settings.
15.5 You can exercise your rights (access, rectification, erasure, restriction, portability, objection) at in preparation. 16. Intellectual property
The Platform’s elements (structure, texts, Odin Key name and logo) are protected. Third-party trademarks and logos belong to their owners. Odin Key is not affiliated with any publisher.
17. Availability of the Platform
We endeavour to keep the Platform accessible, but we do not warrant uninterrupted availability. Maintenance may cause interruptions, which we try to limit.
18. Governing law and jurisdiction
18.1 These terms and the contracts concluded on the Platform are governed by Swiss law, in particular the Swiss Code of Obligations (CO).
18.2 If you are a Consumer, this choice of law does not deprive you of the protection of the mandatory provisions of the law of your country of residence.
18.3 If you are a Consumer, you may bring proceedings against us or the Seller before the courts of the country where you live; proceedings against you may be brought only before those courts.
18.4 For Buyers who are not Consumers, the courts of Lausanne (Switzerland) have jurisdiction.
19. Changes to these terms
19.1 We may amend these terms, in particular to follow changes in the law or in the Platform. The terms in force on the date of your order apply to that order.
19.2 We announce the changes on the Platform, and by e-mail to registered users, before they take effect. Changes never reduce rights already acquired under an existing contract.
